you know if someone's looking to explore an esub the general starting point is is connecting with the financial advisor and going through the economics of the deal I mean obviously if you're going to enter into a situation where you're selling your business you want to understand what it's worth and so you're going to want to have the business valued but also you're going to want to go through a feasibility analysis and that feasibility analysis will help you to understand okay with the particular value that the is associated with the business how is the esap going to pay and how is the company going to pay off its debt related to the esap over the course of time and thirdly in that analysis it will show how are the how is it how are the shares being allocated effectively in a feasibility you're creating a bit of a blueprint for the transaction and you're providing a lot of transparency with regards to the mechanics of how an esap works and so that's that's step one and as we were talking about the fees you know having one party provide this sort of detail gets you to a point where you don't have to incur any other fees so this is really just the investigation side of things in understanding value structure how an esap Works what it means to be an ESOP you know understanding all the different aspects of what it what it potentially could be and what could potentially be involved in a transaction foreign
