The Vermont Employee Ownership Center released the Vermont Capital Guide on April 28, 2025, written with lawyers at Merritt & Merritt. A Vermont offering bought by fewer than 25 in-state investors, with no public solicitation and no broker commission, needs no state filing. Member shares a cooperative issues to its own members are also exempt. Preferred shares sold to outside investors are not.
A Vermont worker cooperative, or an employee group buying a company, can use the guide to pick a securities exemption, choose a note or preferred shares, and see which raises must be filed with the Vermont Department of Financial Regulation.
